Agreement to terms

By creating an account or using Lumin ("the Platform"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Platform. Lumin is operated by Lumin Pro Ltd., a company registered in England and Wales (company number 16523542), with its registered office at 66 Paul Street, London, EC2A 4NA, and is governed by the laws of England and Wales.

Eligibility

You must be at least 18 years old to use Lumin. By registering, you confirm that you meet this age requirement and that the information you provide is accurate.

Your account

• You are responsible for keeping your login credentials secure.
• You may not share, sell, or transfer your account to another person.
• You must use a valid email address for verification purposes.
• We reserve the right to suspend or terminate accounts that violate these Terms.

Account use and restrictions

Your Lumin account and subscription are personal to you and may not be shared, transferred, or sold to others. You agree not to:

• Share login credentials with others or allow multiple individuals to access your account
• Resell, rent, or sublicense any part of the Services or your access to the Services to third parties
• Use your subscription for any unauthorised commercial purposes, such as operating a competing platform or offering insights derived from Lumin as a paid service
• Circumvent or attempt to bypass any access restrictions or subscription controls implemented by Lumin

We reserve the right to suspend or terminate accounts found to be in violation of this section, without refund.

Subscriptions and billing

By subscribing to any of our paid Services, you:

• Authorise Lumin to charge your selected payment method on a recurring basis (monthly, annually, or as otherwise stated at the time of purchase)
• Acknowledge and agree that your subscription will automatically renew at the end of each billing cycle unless cancelled before the renewal date
• May cancel your subscription at any time, but you will continue to have access to the Services through the end of your current billing period. Refunds are only issued where required by applicable law

If we offer a free trial, you will receive access to the PRO plan features for the stated trial period. When the trial period ends, your access will automatically revert to the free plan. No payment method is required to start a trial, and you will not be charged unless you actively choose to subscribe to a paid plan.

We may modify our subscription pricing, features, or plans at any time. If a price increase applies to your subscription, we will provide advance notice via email or through the platform. Your continued use of the Service after the effective date of any change constitutes your acceptance of the updated terms.

We are not responsible for third-party fees (e.g., transaction fees, currency conversion, or bank charges) incurred during your subscription.

Consumer cooling-off waiver. Because Lumin's Pro and Business Premium subscriptions provide immediate access to digital content and services upon subscription, you expressly acknowledge and agree that by subscribing you consent to the immediate supply of the service and understand that you thereby waive any statutory right of cancellation that would otherwise apply during a cooling-off period under applicable consumer protection law (including the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and equivalent regulations in the European Union or other jurisdictions). You may still cancel your subscription at any time via Settings; access continues until the end of the current billing period, and no refund is provided for the remainder of that period save where required by mandatory law.

Chargebacks. If you initiate a chargeback or payment dispute with your card issuer or bank without first attempting to resolve the issue with us via our contact channels, we may suspend or permanently terminate your account, revoke access to paid features, and refuse future service. Chargebacks arising from fraud, bad-faith action, or breach of these Terms may be pursued for recovery of the disputed amount, associated fees, and reasonable enforcement costs.

Creator subscriptions

Lumin operates a Creator Subscriptions feature that allows eligible users ("Creators") to offer paid monthly subscriptions to their content. Subscribers pay Lumin and receive access to the Creator's subscriber-only posts. Lumin acts as the merchant of record; Stripe Connect processes payments on our behalf.

Subscribers may reside in any country where Stripe accepts payments from customers. Creators may reside only in countries our payment provider supports for Creator payouts at the time of application, as detailed under Eligibility below.

By enabling subscriptions on your account, you agree to the following in addition to these Terms:

Eligibility. You must maintain an active Pro or Business Premium plan, be at least 18 years old, provide accurate identity and business information to Stripe (KYC), and reside in a country supported by our payment provider (Stripe Connect) for receiving payouts as a Creator at the time of your application. The list of supported countries may change over time. You must not appear on any applicable sanctions list.

Approval. Enabling the toggle submits your account for review. Lumin reviews each application at its sole discretion and may approve, reject, or later revoke approval without providing reasons. Approval is not a guarantee of subscribership or income.

Content standards. Your subscriber-only content must comply with these Terms, our Code of conduct, the Financial content disclaimer, all applicable laws, and Stripe's Restricted and Prohibited Businesses policy. You are responsible for ensuring your content does not fall within restricted categories including but not limited to unregulated financial advice, adult content, gambling, illegal goods, or high-risk financial products.

Fees and payouts. Lumin retains a platform fee of 10% of each subscription payment. Stripe's card processing fees are deducted from the total charge before the platform fee is calculated. The remaining amount is transferred to your connected Stripe Express account. Payouts to your bank account are managed by Stripe on Stripe's payout schedule.

Refunds and chargebacks. Because Lumin is the merchant of record on subscription payments, any refund or chargeback initiated by a subscriber may result in the payment being reversed from your connected Stripe balance, including any 10% platform fee originally attributed to Lumin. If your Stripe balance is insufficient, Lumin may withhold future payouts to recover the amount.

Taxes. You are solely responsible for reporting and paying any taxes owed on income received through Creator Subscriptions. Lumin does not withhold tax on your behalf and cannot provide tax advice.

Content and licence. You retain full ownership of your subscriber-only content. By enabling subscriptions, you grant Lumin a non-exclusive, royalty-free licence to display your content to your active subscribers and to preserve access for the duration of any active billing cycle.

Suspension and termination. Lumin may suspend or revoke your Creator Subscriptions access at any time and without notice where we reasonably believe you have breached these Terms, breached Stripe's Terms of Service, or where continuing to allow subscriptions would expose Lumin, Stripe, or other users to material risk. You may disable your Creator Subscriptions at any time from your Settings; existing subscriptions will remain active until the end of the current billing cycle.

Subscriber relationship. Lumin is the merchant of record for subscription payments. Subscribers primarily contract with Lumin, not directly with you. Subscriber data is handled per our Privacy Policy; you must not use subscriber data outside the Lumin platform without explicit consent.

No guarantees. Lumin makes no guarantee of subscribers, income, availability of the Creator Subscriptions feature, or minimum earnings. Feature availability, pricing structure, and fee percentages may change with reasonable notice.

Ad Manager

Lumin's Ad Manager allows Business Premium company pages ("Advertisers") to purchase paid ad slots that appear as sponsored MPU units within the Lumin feed. All ads are reviewed by Lumin before going live and are subject to these Terms.

By purchasing an ad slot, you agree to the following in addition to these Terms:

Eligibility. You must be operating an active Business Premium company page with accurate business information on file. Lumin reserves the right to refuse service to any Advertiser at its sole discretion.

Content review. Every ad you submit is manually reviewed by Lumin before appearing in the feed. Approval is at Lumin's sole discretion. We may reject or later suspend any ad that (in our reasonable judgement) breaches these Terms, our Code of conduct, the Financial content disclaimer, applicable laws, or FCA financial promotion rules.

Prohibited content. Ads must not: promote unregulated financial products or services; make guaranteed return claims or misleading performance statements; impersonate individuals, brands, or regulated firms; contain misleading, exaggerated, or unsubstantiated claims; promote content within Stripe's Restricted and Prohibited Businesses policy; or link to malicious, deceptive, or unsafe destinations.

Payment. Full payment is required at the time of purchase, processed via Stripe. Pricing is tiered by campaign duration and is displayed in your Ad Manager before checkout.

Refunds and cancellation. You may cancel an ad slot and receive a full refund up to 24 hours before the ad's scheduled start date. Cancellations made less than 24 hours before start, or once the ad has begun running, are not eligible for a refund. Ads rejected during our review process receive an automatic full refund to your original payment method.

Slot availability. Ad slots are limited in number per day and allocated on a first-come, first-served basis. Purchase of an ad slot does not guarantee future availability of the same time window.

Performance. Lumin provides basic performance metrics (impressions, clicks) but does not guarantee any minimum number of impressions, clicks, conversions, or other outcomes.

Suspension and termination. Lumin may pause or remove any live ad at any time where we reasonably believe it breaches these Terms, applicable law, or exposes Lumin or its users to material risk. Where an ad is suspended for a Terms breach caused by the Advertiser, a pro-rata refund is at Lumin's sole discretion.

Intellectual property. You retain ownership of your ad creative. By submitting an ad, you grant Lumin a non-exclusive, royalty-free licence to display the ad to Lumin users for the duration of the paid slot and to include the ad in performance analytics and moderation logs.

Data use. You may not use audience data, impressions data, or click data from Lumin ads to profile, retarget, or otherwise identify individual users. Ad performance data is provided in aggregate only.

No guarantees. Lumin makes no guarantee of ad availability, performance outcomes, or continued availability of the Ad Manager feature. Pricing, tiers, and slot availability may change with reasonable notice.

Acceptable use

Do not misuse the Services. You may only access the Services via our official interfaces. Scraping, hacking, bypassing technical measures, or disrupting our systems is strictly prohibited.

You are responsible for your activity on the platform and must comply with all applicable laws, these Terms, and our Acceptable Use Policy.

Code of conduct

You agree not to use the Services to:

• Post or share content that is unlawful, defamatory, abusive, harassing, hateful, violent, discriminatory, or otherwise objectionable
• Incite or promote hate speech, terrorism, or harm against individuals or groups based on race, ethnicity, religion, nationality, gender, sexual orientation, disability, or any protected characteristic
• Threaten, bully, stalk, harass, or intimidate other users
• Disseminate false or misleading information, including impersonating any individual or entity
• Constitute personal financial advice or specific investment recommendations
• Upload viruses, malware, or any malicious code intended to harm or disrupt our Services or users
• Attempt to gain unauthorised access to other accounts or Lumin systems
• Use automated means (e.g., bots, scrapers) to access the Services without our written permission
• Manipulate engagement metrics or platform features
• Violate any applicable laws or regulations

We reserve the right to remove content, suspend accounts, or take legal action where we believe there has been a breach of this section.

User content and trademarks

You retain full ownership of the content, data, and trademarks you submit or upload ("User Content"). We claim no ownership of your intellectual property. However, by posting or submitting content, you grant Lumin a global, royalty-free, sublicensable licence to use, store, display, reproduce, modify, and distribute it in connection with providing our Services.

Lumin is provided "AS IS" and "AS AVAILABLE". Lumin does not endorse and is not responsible or liable for content posted by users. We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

Financial content disclaimer

Lumin is a platform where users may share financial insights, discussions, and commentary for informational purposes only. The platform should not be used for executing trades, selling financial products, managing client money, or the provision of regulated investment advice. Lumin does not endorse, verify, or guarantee the accuracy, completeness, or reliability of any user-generated content.

No content on the platform constitutes professional financial advice, investment recommendations, or an offer to buy or sell any financial instruments. You are solely responsible for any decisions made based on content posted by users or third parties. We strongly recommend consulting with a certified financial adviser before making any investment, trading, or financial decisions.

We reserve the right to moderate, remove, or restrict access to content that may constitute an unauthorised financial promotion, contain insider information, or otherwise breach applicable financial services, securities, or market conduct regulations.

Lumin is not authorised or regulated by the Financial Conduct Authority (FCA) and does not provide regulated financial services. Past performance is not indicative of future results. All investments carry risk, including potential loss of capital.

Platform features

Lumin provides features including but not limited to:

• Posts and comments: share and discuss financial topics
• Reposts: share others' content with your followers (subject to their privacy settings)
• Lumin Rating: an engagement-based metric — this is not a measure of financial expertise or reliability
• Peer reviews: community-driven content assessment — these reflect individual opinions, not verified facts
• Disclaimers: post authors may attach disclaimers to their content
• Folders and bookmarks: organise saved content

Moderation and enforcement

We reserve the right to remove content, suspend or terminate accounts, limit visibility, or take legal action in response to violations of these Terms. We may, at our discretion:

• Remove content that violates these Terms
• Suspend or permanently ban accounts for repeated or serious violations
• Investigate reported content and take appropriate action
• Cooperate with law enforcement where legally required

Intellectual property and trademarks

The Lumin name, logo, design, and software are our intellectual property. You may not copy, modify, or distribute any part of the Platform without our written permission.

The taglines "Get access to the knowledge that powers decisions", "Access to the knowledge that powers decisions", and "The world moves through financial insights" are trademarks of Lumin Pro Ltd. Unauthorised use, reproduction, or modification of these trademarks is strictly prohibited.

Infringements and DMCA

If you believe that content on Lumin infringes your intellectual property rights, please contact us at dmca@lumin.pro. For claims under US law, including the Digital Millennium Copyright Act (DMCA), your notice should include:

• Identification of the copyrighted work
• The specific URL or location of the allegedly infringing content
• Your contact details
• A statement under penalty of perjury that you believe the use is unauthorised
• Your signature (physical or electronic)

We may remove content in accordance with applicable intellectual property laws.

If you believe content was removed in error or that you have the right to use the material, you may submit a counter-notification. Your counter-notification must include:

• Identification of the removed content and its prior location
• A statement under penalty of perjury that you believe the content was removed as a result of mistake or misidentification
• Your name, contact information, and consent to the jurisdiction of your local federal court (or Lumin's jurisdiction if outside the U.S.)
• Your signature (physical or electronic)

Upon receiving a valid counter-notification, we may restore the content unless the original complainant files a court action within a specified period.

For UK-based claims, including those under the Copyright, Designs and Patents Act 1988, please provide similar information as listed above. We will assess your complaint and take appropriate action under UK intellectual property law, which may include removing or restricting access to the allegedly infringing content.

Advertising and promoted content

Lumin displays two types of commercial content within the platform:

• MPU Advertisements: Company accounts with a Business Premium subscription may purchase Mid-Page Unit (MPU) ad placements that appear between posts in the feed. All MPU ads are subject to admin review and approval before going live. Ad placements are time-based (not targeted using your personal data) and are clearly displayed as commercial content.
• Promoted Posts: Pro users and Business Premium company accounts may spend platform credits to increase the visibility of their own posts within the feed. Promoted posts are always labelled with a "Promoted" indicator so you can identify them at a glance.

Neither MPU ads nor promoted posts are targeted based on your personal data, browsing history, or behavioural profiling. Ads appear to all users in the feed regardless of their profile or activity.

If you believe an advertisement or promoted post violates our content standards, you can report it by emailing privacy@lumin.pro.

Feedback

If you provide Lumin with any feedback, suggestions, or ideas regarding the Services, you agree that we may use and incorporate such feedback without any obligation to compensate or credit you.

Privacy

Your use of Lumin is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.

Availability and changes

We strive to keep the Services operational but do not guarantee uninterrupted, secure, or error-free access. We may:

• Modify, update, or discontinue features at any time
• Perform maintenance that temporarily limits access

We may update these Terms from time to time. We will notify users of significant changes by updating the "Last updated" date at the top of these Terms and, where appropriate, provide additional notice via email or in-app notification.

Force majeure

Neither party shall be liable for any delay in or failure to perform any obligation under these Terms where such delay or failure results from causes beyond the party's reasonable control, including but not limited to natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, government or regulatory action, labour disputes, failure of internet or telecommunications infrastructure, failure of hosting or cloud services, cyberattacks, or the acts or omissions of third-party service providers on which the Platform depends.

Limitation of liability

To the maximum extent permitted by law:

• Lumin is provided "as is" and "as available" without warranties of any kind
• We are not liable for any financial losses resulting from content on the Platform
• We are not liable for any indirect, incidental, consequential, or punitive damages, or for any loss of profits, revenue, or data
• Our total liability shall not exceed the amount you have paid to us (if any) in the 12 months preceding the claim

Nothing in these Terms excludes liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

Account deletion

You may delete your account at any time via Settings > Delete Account. Upon deletion:

• All your posts, comments, likes, follows, and bookmarks will be permanently removed
• Your username will become available for registration by others
• This action cannot be undone

Indemnification

You agree to indemnify, defend, and hold harmless Lumin Pro Ltd., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or regulation, including financial services and securities laws.

Third-party links and services

The Platform may contain links to third-party websites, services, or resources shared by users or displayed in advertisements. Lumin does not control, endorse, or assume responsibility for any third-party content, products, or services. Your interactions with third parties are solely between you and that third party.

AI-generated content

Certain features of the Platform may use artificial intelligence to generate summaries, suggestions, or other content. AI-generated outputs are provided for convenience only and may be inaccurate, incomplete, or misleading. Lumin does not guarantee the accuracy of any AI-generated content, and such content does not constitute financial advice or any form of professional recommendation.

Assignment

You may not transfer, assign, or delegate your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this clause is void. Lumin may assign or transfer these Terms, in whole or in part, to any successor entity in connection with a merger, acquisition, sale of assets, corporate restructuring, or by operation of law, without notice to you.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Lumin regarding your use of the Services and supersede all prior agreements, understandings, and representations.

Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
